1. White-Label Service Agreement

These Terms and Conditions govern the white-label fulfillment services provided by Virtual Ninjas (referred to as "we", "us", or "our") to marketing agencies (referred to as "Agency", "Partner", or "you"). By contracting our services, scheduling consultations, or creating accounts, you agree to comply with and be bound by these terms.

We operate as a silent, backend fulfillment partner. Our media buying, optimization, and structural campaign setups are delivered entirely under your agency's brand. We do not maintain direct communication or establish separate business relationships with your agency's clients without your explicit written authorization.

2. Scope of Services

Virtual Ninjas provides specialized paid media optimization and campaign management. The scope of active campaign management includes:

  • Paid advertising setup, monitoring, and ongoing optimization on Facebook, Instagram, Google Ads, TikTok, and YouTube.
  • Development of landing page templates, copy variations, and targeting parameter tests as detailed in active client briefs.
  • White-label performance reporting for you to deliver directly to your client base.

Any expansion of these services, including custom software integrations, direct client support calls, or manual CRM management, must be agreed upon separately in writing.

3. Flat-Rate Billing & Retainer Terms

All active fulfillment services are billed on a flat monthly retainer basis to keep pricing clear and simple for growing agencies:

  • Fulfillment Cost: You agree to pay a flat fee of $497 per client campaign per month. There are no surprise hourly rates, benefits costs, or platform overhead percentages.
  • Billing Cycle: Services are billed in advance on a recurring monthly schedule starting on the day you onboard a client account into our fulfillment portal.
  • Card-on-File Authorization: You agree to maintain an active, valid credit card or payment method on file to ensure automated billing processing. If a monthly transaction fails, active campaign optimization may be paused until billing status is resolved.
  • Refunds and Credits: Due to the immediate deployment of media buying labor and resources, we do not provide refunds or prorated credits for partial billing cycles.

Exclusivity & Scale Guarantee: We charge a flat fee per client, meaning your margins increase as you scale. We do not require long-term contracts for the agency, you pay only for active accounts on your roster.

4. Non-Circumvention Guarantee

We respect your client relationships. Virtual Ninjas strictly guarantees that we will not solicit, bypass, or contract directly with any client account, lead, or business manager that is introduced to us through your agency. This non-circumvention guarantee remains active during our partnership and for a period of 2 years following the termination of our services for any respective account.

5. Access and Client Manager Rules

To enable fulfillment, you must provide active partner access to the respective client advertising accounts (using manager tools like Facebook Partner Access or Google MCC link approvals). You maintain full administrative ownership of these accounts and can revoke our permissions at any time. You are solely responsible for all ad spend billed directly by ad platforms (such as Meta or Google) to your clients' credit cards.

6. Ad Account Rules & Suspensions

While we use industry best practices and follow compliance guidelines for all networks, you acknowledge that advertising platforms maintain absolute discretion over account approvals and policy enforcement. Virtual Ninjas is not responsible or liable for client account suspensions, disabled ad managers, or campaign rejections resulting from platform policy changes, previous compliance histories, or client business categories.

7. Performance Disclaimer

Paid advertising performance is influenced by numerous factors beyond our control, including client landing page conversion rates, sales follow-up response times, lead close rates, product market fit, and platform algorithm updates. While we optimize campaigns to deliver high-quality leads, Virtual Ninjas does not guarantee specific close rates, revenue numbers, or sales metrics for your clients.

8. Cancellation Policy

You may cancel active campaign management for any specific client account by providing written notice at least 3 business days before the next scheduled billing date. Upon cancellation, optimization tasks will cease at the end of the current paid billing cycle, and partner access permissions will be safely returned to your agency.

9. Limitation of Liability

In no event shall Virtual Ninjas or its team members be liable for any indirect, incidental, special, or consequential damages (including loss of profits, client contracts, or agency reputation) arising out of or related to our campaign management, even if advised of the possibility of such damages. Our maximum liability under any circumstances shall be limited to the fees paid by the Agency for the specific client campaign in question during the billing month immediately preceding the claim.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our business is registered, without giving effect to any principles of conflicts of law. Any legal actions or proceedings must be initiated in the competent courts of our primary business registry.
